1. About Spectra & Service Scope

Spectra is an enterprise-grade Business Management Suite (BMS) and Inventory Management Software designed to streamline stock control, multi-warehouse operations, point-of-sale transactions, order fulfillment, invoicing, reporting, and analytics through integrated web, desktop, and mobile applications.

Spectra is developed, owned, and operated by Dertz Infotech, an Indian technology enterprise. By creating an account, downloading our mobile applications, or utilizing any portion of the Services, you agree to comply with and be legally bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.

2. Acceptance of Terms & Eligibility

By registering for an account, accessing our web portal, downloading our mobile application from the Google Play Store or Apple App Store, or clicking "Accept" during onboarding, you confirm that:

• You are at least 18 years of age (or the legal age of majority in your jurisdiction) and possess full legal capacity to enter into a binding agreement.
• If you are registering on behalf of a company, partnership, enterprise, or other legal entity, you represent and warrant that you have full authorization and authority to bind that entity to these Terms.
• You are not barred from receiving services under applicable trade, export, or statutory laws in India or your local jurisdiction.

These Terms apply to all users of the platform, including Account Administrators (business owners), Staff Members & Warehouse Operators, and Visitors browsing our public website.

3. Account Registration, Credentials & Security

To access features of the Spectra platform, you must create an account by providing accurate, complete, and current business and contact details. You agree to promptly update your account information if any changes occur.

• Credential Protection: You are solely responsible for maintaining the confidentiality of your authentication credentials, passwords, and multi-factor authentication tokens.
• Account Liability: You are fully responsible for all actions, transactions, and data modifications performed under your account credentials, whether authorized by you or not.
• Unauthorized Access Notification: You must immediately notify Dertz Infotech at contact@dertzinfotech.com upon becoming aware of any actual or suspected security breach, compromised password, or unauthorized access.
• Right to Suspend: We reserve the right to suspend or terminate accounts containing false, outdated, or fraudulent registration details.

4. Business Administrator & Customer Responsibilities

As a business owner, subscriber, or account administrator using Spectra for commercial or retail operations, you acknowledge and agree to the following responsibilities:

• Lawful Data Collection & Consent: You are responsible for obtaining all legally required permissions, notices, and consents from your end customers, suppliers, and employees before inputting or uploading their personal or commercial data into Spectra, including under India's Digital Personal Data Protection Act, 2023 (DPDP Act) and international data protection laws.
• Data Accuracy: You maintain sole responsibility for the accuracy, legality, inventory counts, pricing, discount calculations, and statutory compliance of records entered into Spectra.
• Employee & Staff Access Controls: You are solely responsible for configuring role-based permissions, monitoring staff activity, and revoking credentials when personnel leave your organization.
• Independent End-Customer Transactions: Commercial transactions, sales, product guarantees, and warranties between your business and your end clients are solely your responsibility. Spectra provides technological infrastructure and is not a party to your transactions.

5. Mobile Applications, Google Play Store & App Distribution

If you download or access the Spectra mobile application through the Google Play Store (provided by Google LLC) or Apple App Store (provided by Apple Inc.), the following terms apply:

• App Store Terms Compatibility: You acknowledge that these Terms are concluded solely between you and Dertz Infotech, not with Google LLC or Apple Inc. Google and Apple have no obligation whatsoever to furnish maintenance or support services with respect to the application.
• Device Permissions & Hardware Usage: The Spectra mobile app may request device permissions—including camera access (strictly for barcode/QR code scanning of inventory items), local storage (for offline receipt caching and invoice generation), and push notifications (for low-stock alerts and order status). Permissions can be revoked at any time via your device settings, though some functionality may be limited.
• Account & Data Deletion Compliance: In accordance with Google Play Store Developer Policies and applicable privacy regulations, users may request the deletion of their user account and associated personal data directly within the mobile application settings or by submitting a written request to contact@dertzinfotech.com. Data deletion will be executed in accordance with our data retention schedule and legal record-keeping obligations.
• Third-Party Beneficiaries: Google LLC and Apple Inc., along with their subsidiaries, are third-party beneficiaries of these Terms with respect to your license of the mobile app, and upon your acceptance, will have the right to enforce these Terms against you.

6. Acceptable Use Policy & Platform Prohibitions

You agree to use Spectra solely for legitimate, authorized business operations. You agree that you will not, directly or indirectly:

• Use the Services for any unlawful, fraudulent, defamatory, or harmful purposes, or in violation of statutory regulations.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code, underlying algorithms, or APIs of the platform or mobile application binaries.
• Bypass, probe, disable, or tamper with security controls, authentication mechanisms, licensing limits, or digital rights management systems.
• Introduce viruses, worms, Trojan horses, ransomware, spyware, or any malicious or destructive code into our infrastructure.
• Deploy automated bots, spiders, scrapers, or scripts to harvest data, crawl private endpoints, or overload our servers.
• Resell, sublicense, lease, rent, redistribute, or white-label the Services without an express written partnership agreement with Dertz Infotech.
• Engage in denial-of-service (DoS/DDoS) attacks, network flood testing, or disrupt service stability for other tenants.

Dertz Infotech reserves the right to immediately suspend or permanently revoke access for any user found violating this Acceptable Use Policy.

7. Subscription, Fees, Billing & Refunds

• Subscription Plans: Access to premium modules, multi-warehouse support, API connectors, and higher transaction quotas requires an active paid subscription plan.
• Billing Cycle & Auto-Renewal: Subscriptions are billed in advance on a recurring monthly, quarterly, or annual basis. Subscriptions renew automatically unless cancelled prior to the end of the billing period via your billing settings.
• Taxes: All listed subscription fees are exclusive of applicable statutory taxes, including Goods and Services Tax (GST), Value Added Tax (VAT), or other national/state levies, which will be added at checkout where applicable.
• In-App Purchases & Google Play Billing: Where subscriptions or feature upgrades are purchased via Google Play Store or Apple App Store in-app billing, transactions and renewals are governed by the respective store's billing rules and payment processing policies.
• Refund Policy: Due to the immediate provisioning and digital nature of SaaS infrastructure, paid subscription fees are non-refundable, except as strictly required by applicable statutory consumer protection laws or designated trial refund terms.
• Non-Payment & Grace Periods: If a scheduled renewal payment fails, Dertz Infotech will notify you and grant a grace period of up to 7 business days to update payment methods before suspending access to paid features.

Our collection, storage, and processing of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

• Roles Under Data Protection Laws: With respect to end-customer and transactional data stored in Spectra, you act as the Data Fiduciary (Data Controller), and Dertz Infotech acts as the Data Processor (Technology Service Provider) under India's Digital Personal Data Protection Act, 2023 (DPDP Act) and international data protection regulations.
• Security Safeguards: We employ industry-standard TLS encryption for data in transit, encrypted database storage, role-based access restrictions, and periodic security audits to safeguard your business information.

10. Service Availability, SLA & Maintenance

Dertz Infotech strives to provide high service availability and operational reliability (targeting 99.9% uptime for cloud infrastructure). However, you acknowledge and agree that:

• The Services may be temporarily unavailable due to scheduled maintenance, software updates, emergency security patches, or server migrations. Where practicable, advance notice of planned maintenance will be provided.
• Dertz Infotech shall not be liable for interruptions caused by telecommunication failures, internet outages, public cloud provider disruptions, or force majeure events beyond our reasonable control.
• We reserve the right to enhance, alter, or discontinue individual features or modules to adapt to technological advancements, regulatory requirements, or security best practices.

11. Disclaimer of Warranties ("AS IS" & "AS AVAILABLE")

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, APPLICATIONS, DOCUMENTATION, AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

DERTZ INFOTECH EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE PERFORMANCE.

Statutory & Tax Advisory Disclaimer: Spectra is a business management and inventory workflow software tool. Dertz Infotech does not provide legal, taxation (including GST/VAT statutory filings), accounting, financial, or auditing advice. You remain solely responsible for validating your calculations, stock counts, tax compliance, and business decisions with qualified professional advisors.

12. Limitation of Liability & Monetary Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DERTZ INFOTECH, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

This includes, without limitation, damages for loss of profits, lost revenue, lost inventory value, business interruption, loss of business opportunities, loss of goodwill, or loss of data, arising out of or in connection with your access to, use of, or inability to use the Services, even if advised of the possibility of such damages.

Aggregate Monetary Cap: To the maximum extent permitted by applicable law, the total aggregate liability of Dertz Infotech for any and all claims, disputes, or causes of action arising out of or related to these Terms or the Services shall be strictly limited to the actual amount paid by you to Dertz Infotech for access to the Services in the twelve (12) months preceding the event giving rise to liability, or INR 5,000 (Indian Rupees Five Thousand), whichever is greater.

13. Indemnification

You agree to defend, indemnify, and hold harmless Dertz Infotech, its directors, officers, employees, agents, and licensors from and against any third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to:

• Your violation or breach of any provision of these Terms or applicable laws.
• Your Customer Data, inventory records, or content uploaded to the platform.
• Any failure by you to obtain lawful consent from your customers, staff, or third parties under data protection or consumer protection regulations.
• Any commercial or financial dispute between your business and your end clients, vendors, or contractors.
• Misuse of the Services under your account credentials by any employee, contractor, or third party.

14. Termination, Suspension & Data Retrieval

• Termination by User: You may cancel your subscription or terminate your account at any time through your account settings or by submitting a written notice to contact@dertzinfotech.com.
• Suspension & Termination by Company: We may suspend or terminate your access immediately, without prior liability, if you commit a material breach of these Terms, fail to pay subscription fees, engage in fraudulent or abusive activities, or if required to do so by court order or statutory authorities.
• Post-Termination Data Retrieval: Upon termination, you will have a grace period of thirty (30) calendar days to request an export of your Customer Data in standard format (CSV/JSON/Excel). After this period, Dertz Infotech reserves the right to securely delete all Customer Data in accordance with our data destruction protocols.
• Survival: Sections covering Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution shall survive any termination of these Terms.

15. Governing Law, Jurisdiction & Dispute Resolution

These Terms, their interpretation, and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the substantive laws of the Republic of India, without giving effect to any choice of law or conflict of law principles.

• Informal Dispute Resolution: Prior to initiating any formal legal action, you and Dertz Infotech agree to make reasonable, good-faith efforts to resolve any dispute, controversy, or claim amicably through informal consultation by emailing contact@dertzinfotech.com for a period of at least thirty (30) calendar days.
• Exclusive Jurisdiction: In the event that informal negotiations fail, you irrevocably submit to the exclusive jurisdiction of the competent courts situated in Lucknow, Uttar Pradesh, India, for the resolution of any dispute, suit, or legal proceeding arising out of these Terms.

16. Severability, Assignment & Entire Agreement

• Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid, and the remaining provisions shall continue in full force and effect.
• No Waiver: No failure or delay by Dertz Infotech in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Dertz Infotech may freely assign its rights and obligations in connection with a corporate reorganization, merger, acquisition, or asset sale.
• Entire Agreement: These Terms, together with our Privacy Policy and applicable service order forms, constitute the entire and exclusive agreement between you and Dertz Infotech concerning Spectra, superseding all prior proposals, agreements, or communications.

17. Modifications to These Terms

Dertz Infotech reserves the right to revise, modify, or update these Terms at any time to reflect software enhancements, operational adjustments, or changes in legal regulations.

When modifications are made, we will update the "Last updated" and "Effective Date" at the top of this page. For material updates, we may provide prominent notification via our website dashboard, email, or in-app announcements. Your continued access to or use of the Services after revised Terms become effective constitutes your binding acknowledgment and acceptance of the revised Terms.
